Terms of Service

Welcome to Vesura. By accessing or using our automated escrow platform for UGC content transactions (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and Vesura ("we", "us", "our"). Please read them carefully.

To use Vesura, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide accurate, complete, and current information during registration
• Comply with all local, national, and international laws and regulations
• Make all required filings, tax returns, and regulatory declarations with relevant authorities yourself; Vesura does not complete these on your behalf

3.1 How Our Escrow Works

Vesura acts as a trusted intermediary between content creators and brands:

• Creator creates video: Creator uploads UGC content to our secure platform
• Brand makes payment: Funds are held in escrow by Vesura via Stripe
• Vesura holds funds: Payment remains secure until conditions are met
• Brand confirms receipt: After reviewing content, brand confirms acceptance
• Creator receives payment: Funds are automatically released to creator

3.2 Release Timelines

• Automatic release after 7 days if no dispute is filed
• Immediate release when brand confirms acceptance
• Dispute resolution within 14 days if contested

3.3 Vesura's Role

• We facilitate transactions but are not a party to the content agreement between creators and brands
• We are not responsible for the quality, legality, or accuracy of content
• We provide secure payment infrastructure but do not guarantee business outcomes

Vesura facilitates transactions between creators and buyers. Transactions are made directly with creators through our payment partner Stripe.

• Payment Responsibility - Creators are the official merchant of record for all sales. This means the purchase is made directly with the creator.
• Vesura Commission - Vesura takes a 5% commission on the creator's announced price for each successful transaction.
• Protection and Service Fees - The buyer (brand) pays by default protection and service fees of 4.5% + €0.25 on top of the announced price. These fees cover transaction security and payment processing. The creator may choose to absorb these fees, in which case the buyer pays only the announced price.
• Currency - All transactions are processed in EUR or USD according to the creator's choice.

As the merchant of record, creators are responsible for:

- Collecting and remitting applicable taxes (VAT, sales tax, etc.) according to their jurisdiction

- Issuing invoices to their customers if required by law

- Managing disputes and refunds directly with buyers

- Reporting income to their tax authority

Vesura acts only as a technical intermediary to facilitate transactions and cannot be held responsible for the tax or legal obligations of creators.

5.1 Your Content

You retain all ownership rights to content you upload. By using the Service, you grant Vesura a limited, non-exclusive license to:

• Store, process, and display your content
• Apply watermarks for protection purposes
• Facilitate delivery to authorized buyers

5.2 Platform Rights

All Vesura branding, logos, design elements, and software are protected by copyright and trademark laws. You may not copy, modify, or distribute any part of the Platform without express written permission.

You agree not to:

• Upload illegal, harmful, or infringing content
• Circumvent watermarking or security measures
• Engage in fraudulent transactions or money laundering
• Harass, threaten, or abuse other users
• Attempt to access unauthorized areas of the Platform
• Use automated tools to scrape or harvest data
• Impersonate others or provide false information
• Violate any applicable laws or regulations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Vesura is provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for content uploaded by users or disputes between parties
• We do not guarantee uninterrupted or error-free service

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Provide false or misleading information
• Fail to respond to our communications

You may close your account at any time through your account settings. Upon termination, pending transactions will be completed according to their terms, but you will lose access to the Platform.

Any disputes arising from these Terms shall be resolved through:

• Informal Negotiation: First attempt to resolve the matter directly
• Platform Mediation: Use our internal dispute resolution process
• Arbitration: Binding arbitration under applicable arbitration rules

These Terms are governed by the laws of France, without regard to conflict of law principles.

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.
